Tax & Tax Disputes

We regularly assist our clients in the following areas: taxation of real estate transactions, including like-kind exchanges and installment sales; partnership and limited liability company taxation; corporate taxation; tax matters arising in the sale of a business; tax accounting issues; employment tax; foreign taxation; bankruptcy and insolvency tax; tax-exempt organizations; and matters of state and local taxation.

We handle tax controversies, at all administrative and judicial levels, against the Internal Revenue Service, the Arizona Department of Revenue, and the various local taxing authorities. Bob Lord represented the taxpayers in Sacks v Commissioner, 69 F.3d 982 (9th Cir.1995), a decision that broke new ground in the treatment of tax motivated equipment leasing transactions. In the course of over 25 years representing taxpayers, Bob consistently has achieved favorable resolutions in a cost effective manner.

Business Planning

We assist our clients in tax matters related to the formation and ongoing operation of their business; structuring and drafting agreements among co-owners of businesses (for example, operating agreements, shareholder agreements) and planning for the succession of the business upon the death or retirement of the owner. We also assist our clients with such matters as employment agreements and contracts with customers and vendors. When our clients have made a decision to expand their businesses, we advise their ownership structure on how it should be modified to best accomplish the expansion.

We assist our clients choosing the business entity (corporation, partnership, limited liability company) that is most advantageous in their situation; tax matters related to the formation of their business; structuring and drafting agreements among co-owners of businesses (for example, operating agreements, shareholder agreements) and legal and tax compliance matters related to the formation of their business entity.

We assist our clients in the choice of business entity; tax matters related to the formation and ongoing operation of their business; structuring and drafting agreements among business owners (for example, operating agreements, shareholder agreements) and planning for the succession of the business upon the death or retirement of the owner.

Estate Planning & Probate

We assist our clients with the preparation of documents ranging from simple wills and living trusts to sophisticated estate tax planning and asset protection vehicles, such as family limited partnerships, irrevocable life insurance trusts, and charitable remainder trusts. We counsel our clients in the selection of the appropriate trustee for their family trusts and in determining the appropriate conditions for distribution of their wealth after their death. We also counsel many of our clients regarding appropriate pre-marital or post marital agreements that coordinate with their overall estate plans.

Probate

We assist clients with both contested and uncontested probates. Through close working relationships we have established with accountants, valuation experts, real estate brokers and other professionals, we have been able to help our clients through the probate process efficiently and in a cost-effective manner.

Pre and Post Marital Agreements

Although the negotiation of a financial agreement with your future spouse is not an enviable task, the reality is that pre-marital agreements frequently are advisable, especially in second marriages. We counsel many of our clients regarding appropriate pre-marital or post-marital agreements, often in conjuntion with their overall estate planning.

Business Acquisitions & Sales

We assist clients both in the purchase and sale of businesses. In doing so, we help our clients determine the most advantageous tax and legal structure for their purchase or sale, including the decision whether to purchase or sell the assets of the business or the ownership interests in the entity that operates the business. We assist our clients in the negotiation process. We advise purchasers of business during the investigatory stage of the purchase and assist them in developing the representations and warranties to require from their seller. We assist in structuring payment terms and in determining and documenting the arrangements needed to secure payment of the deferred portion of the purchase price.
